GENERAL TERMS AND CONDITIONS OF SALE
THE PACK ‘Electric Motorcycle News’
(a brand of Salens Communicatie NV)
1. Identity of the Supplier
THE PACK — Electric Motorcycle News is a brand name of Salens Communicatie NV, with registered office at Veldloopstraat 8, 2531 Vremde (Belgium), registered in the Crossroads Bank for Enterprises under number 0455.300.776, and with VAT number BE0455.300.776 (hereinafter referred to as ‘THE PACK’).
2. Scope of Application
These general terms and conditions apply to all offers, quotations, assignments, agreements and deliveries of goods or services provided by THE PACK, to the exclusion of any general or specific terms and conditions of the client, unless explicitly accepted in writing by THE PACK. By placing an order or signing a quotation, the client acknowledges having read and accepted these terms and conditions.
3. Offers and Orders
All quotations issued by THE PACK are non-binding and valid for thirty (30) days, unless otherwise stated. An agreement is only concluded after written confirmation by THE PACK or upon commencement of the performance of the assignment. Any changes or additional work requested by the client after order confirmation must be agreed upon in writing and may result in an adjustment of price or delivery time.
4. Services Provided
THE PACK provides media-related and promotional services, including but not limited to:
- publication of sponsored content, branded stories and press releases;
- organization of promotional campaigns on social media;
- organization of trade shows and events (such as THE PACK Plaza);
- production of photography, video and graphic design materials;
- consultancy and promotional support related to electric vehicles and mobility.
THE PACK undertakes to perform all services with due care, professionalism and according to generally accepted industry standards. Any delivery terms indicated are target deadlines and not binding, unless explicitly agreed otherwise. Delays in performance shall not give rise to compensation or termination of the agreement.
5. Client’s Obligations
The client shall provide THE PACK with all necessary information, texts, images, logos and instructions required for proper execution of the assignment, in a timely and complete manner. The client guarantees the accuracy and completeness of the information supplied and shall indemnify THE PACK against any third-party claims related to the content or use of such materials. If the execution of the assignment is delayed due to late delivery of information or approvals by the client, THE PACK is entitled to adjust the schedule and charge any additional costs incurred.
6. Prices and Payment Terms
All prices are exclusive of VAT and other applicable taxes, unless otherwise stated.
- Invoices related to publications on THE PACK (such as sponsored press releases, branded content, and test reviews) are payable before publication, without discount, unless otherwise agreed in writing.
- All other invoices related to other services are payable within thirty (30) days of the invoice date.
In the event of late payment, interest of 1% per month shall be due automatically and without prior notice, together with a fixed compensation of 10% of the invoice amount, with a minimum of €150. THE PACK reserves the right to suspend or cancel ongoing assignments in case of non-payment of previous invoices.
7. Cancellation or Modification
If the client cancels an assignment in whole or in part, the client shall be liable for payment of all costs already incurred and work performed, plus a fixed compensation of 30% of the remaining order value. Cancellation of participation in events or campaigns shall not entitle the client to any refund, unless otherwise agreed in writing.
8. Liability
THE PACK shall only be liable for proven damages directly resulting from its own gross negligence or wilful misconduct.
In any event, THE PACK’s liability shall be limited to the total amount paid by the client for the specific assignment concerned.
THE PACK shall not be held liable for any indirect or consequential damages, including but not limited to loss of profits, data, clientele, or reputation.
9. Intellectual Property
All intellectual property rights to concepts, texts, images, videos, designs or other materials created by THE PACK shall remain the exclusive property of THE PACK, unless otherwise agreed in writing.
The client is granted a non-exclusive right of use for the specific purpose and duration defined in the contract. The client guarantees that it holds all necessary rights to the materials provided and shall indemnify THE PACK against any third-party claims in this respect.
10. Confidentiality
Both parties undertake to treat all confidential information received during the collaboration as strictly confidential and not to use or disclose it to third parties without prior written consent, unless required by law.
11. Force Majeure
THE PACK shall not be held liable for any delay or failure to perform its obligations if caused by force majeure or circumstances beyond its reasonable control, including but not limited to technical failures, pandemics, strikes, fire, power outages, or governmental actions. In such cases, THE PACK shall be entitled to suspend or terminate the agreement without liability for any damages.
12. Termination of the Agreement
THE PACK may immediately terminate the cooperation in the event of non-payment, breach of contractual obligations, or if the client is subject to judicial reorganization, insolvency, or bankruptcy.
In such cases, THE PACK retains the right to payment for all services rendered and costs incurred.
13. Governing Law and Jurisdiction
Any dispute concerning the conclusion, validity, interpretation or performance of this agreement or any related agreements shall be governed by Belgian law. The courts of the judicial district in which THE PACK (Salens Communicatie NV) is established shall have exclusive jurisdiction.
14. Final Provisions
The invalidity of any clause of these terms shall not affect the validity of the remaining clauses. THE PACK reserves the right to amend these general terms and conditions at any time. The amended version shall apply to all new agreements concluded after publication.
